These Terms and Conditions ("Terms") govern your access to and use of the Rise OS platform, website, and related services (collectively, the "Services") operated by Rise OS ("we," "us," or "our"). By creating an account, accessing the Services, or otherwise using the platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a business, you represent that you have authority to bind that entity to these Terms.

You must be at least 18 years old and legally able to enter into a binding contract to use the Services. You agree to provide accurate, current, and complete information during registration and to keep it updated.

You are responsible for maintaining the security of your account, credentials, and all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. Rise OS is not liable for any loss or damage arising from your failure to safeguard your account.

Rise OS is offered on a subscription basis. The Basic plan is billed at $97.00 per month, the Growth plan at $249.00 per month, and the Scale plan is available under custom terms. All fees are billed in advance, are non-refundable except where required by law, and are subject to change with reasonable prior notice.

Your subscription automatically renews each billing cycle unless you cancel before the renewal date. You may cancel at any time from your account settings; cancellation stops future renewals but does not entitle you to a prorated refund of the current period. Applicable taxes are added at checkout based on your billing address.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, any third party. You may not use the platform to transmit unlawful, harassing, defamatory, or fraudulent content, or to collect data by deceptive means.

Rise OS is industry-agnostic and configurable to your workflow. You are solely responsible for the data you store, the contacts you reach, and the compliance of your own campaigns under your industry's regulations. We provide tools; you are responsible for using them lawfully.

Use of SMS features requires compliance with the A2P 10DLC framework and all applicable US carrier rules. You are responsible for registering your brand and campaigns, obtaining proper opt-in consent before sending messages, honoring opt-out requests promptly, and maintaining consent records.

You must not send messages without prior express written consent, after a recipient has opted out, or for use cases prohibited by carriers. Rise OS may suspend SMS sending for any account that violates carrier rules or applicable messaging law. Message frequency and STOP/HELP handling are described on our Compliance page.

The Services include an AI assistant that generates suggestions and responses using a third-party language model. AI output may be incomplete, inaccurate, or not appropriate for your use case. You are responsible for reviewing and validating all AI-generated content before sending or acting on it.

Rise OS does not guarantee the accuracy of AI output and is not liable for decisions made based on it. Do not submit confidential or regulated information to the assistant. Use of the AI assistant is subject to our provider's acceptable-use policies, which may restrict certain content.

You retain ownership of all data you submit to the platform. Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for the accuracy and lawfulness of the data you import and for obtaining any consents needed to process it.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or that messages will be delivered by any carrier.

All SMS delivery is subject to carrier filtering and throughput limits outside our control. We may modify or discontinue features at any time without notice.

To the maximum extent permitted by law, Rise OS and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to the Services, whether in contract, tort, or otherwise.

Our total aggregate liability for any claim shall not exceed the amount you paid us in the three months preceding the claim, or one month's subscription fee, whichever is greater.

You may terminate your account at any time. We may suspend or terminate access immediately if you breach these Terms, fail to pay fees, or if your conduct could cause legal liability or disrupt the platform. Upon termination, your right to use the Services ends, though your data may be retained briefly to allow export. We may delete data after a reasonable grace period following termination.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, provide notice within the platform or by email. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
